Terms and Conditions

Greetings from Cerebellum Academy We want your time spent using our Platform to be wonderful.

The terms and conditions for using https://www.cerebellumacademy.com (website), any mobile applications (Cerebellum Academy Application), and any features, subdomains, content (except as provided herein), functionality, products, services (including the Services), media, applications, or solutions made available on or through the Site, the Application, or any other modes, mediums, platforms, or formats, including through Secure Digital (SD) cards, tablets or other storage/transmitting device (hereinafter collectively referred to as the “Platform”/ “Cerebellum Academy Platform”. All users of the Platform, collectively referred to as “you,” “your,” or “User(s),” including without limitation those who produce and / or make available Content Provider Content (as defined in the “Intellectual Property” section below) on the Platform (referred to as “Content Providers”), users who access the Platform to learn a skill (referred to as “Learners”), and users who access the Platform in any other capacity. These Terms and Conditions as well as the Privacy Policy, Refund Policy, Cookies Policy, the User Guidelines, and any other terms and conditions, rules, policies, or guidelines included in these Terms and Conditions or Privacy Policy by reference and/or updated on the Platform or otherwise communicated to you from time to time (including terms and conditions of other third party platforms that may be used or accessed by you) serve as the legal framework for your relationship with Cerebellum Academy. Your use of the Platform and the Services (described below) provided therein is governed by the Platform Terms. Your use of the Platform is contingent upon your agreement to the Platform Terms. Platform Terms are not required to have a physical, electronic, or digital signature because they are electronic records under the Information Technology Act of 2000, the Information Technology (Amendment) Act of 2008, and other applicable laws and regulations that apply to electronic records (including any federal laws), as introduced or amended from time to time. Cerebellum Academy and you are bound by a contract known as the Agreement once you have accepted the Platform Terms. Therefore, we ask that you carefully read the Platform Terms from beginning to end. Updated versions of the Platform Terms may occasionally be made available as stated before for your reference. You hereby expressly accept and agree to the Platform Terms by visiting and using the Platform, providing your Personal Information (as defined in the Privacy Policy), using the offered Services, or otherwise indicating your agreement when the opportunity arises. Please refrain from using the Platform in any way if you disagree with any of the terms or do not wish to be bound by them. Sorting Hat Technologies Private Limited, an Indian corporation, and all of its affiliates, who are licensed to host the Platform and provide Services, are collectively referred to as “Cerebellum Academy,” “we,” “us,” and “our.” To determine which Cerebellum Academy entity your Agreement will be with, please refer to the section of these Terms and Conditions titled “About Cerebellum Academy and the Platform.”

The definitions and associated meanings for all capitalized terms appear in these Terms and Conditions. If a word’s first letter is capitalized in this document, it means that we have defined its meaning in relation to these Terms and Conditions and/or the Platform Terms; When we refer to any such term in these Terms and Conditions, we will try to indicate where in the applicable Platform Terms you can find the meaning or definition. If it is not provided here, it will be in the relevant Platform Terms.

About Cerebellum Academy

Cerebellum Academy Private Limited, a company incorporated under the (Indian) Companies Act, 2013, having its Registered office at 7th Floor, Flat no 802, Tower No: 20, Common Wealth Games Village Sports Complex, New Delhi 110092, India (“Cerebellum Academy India”). In any jurisdiction other than India, wherever Services are rendered through the Platform, the same is offered by Cerebellum Academy India and / or its affiliates (as relevant pursuant to appropriate intra group contractual arrangements). For knowing with which entity of your Agreement will be, please refer the list in Annexure A below.

1. PLATFORM SERVICES

Cerebellum Academy is an online service platform that allows Content Providers to create and offer various forms of content, such as written material, audio, pre-recorded audiovisuals, and live audiovisuals, to learners in diverse categories. Cerebellum Academy functions as an intermediary between the Content Providers and Learners and makes the Content Provider Content accessible to learners, including through subscription offerings. Cerebellum Academy also provides other incidental and ancillary services, such as question banks, mock tests, doubt-solving solutions, live mentorship, live videos, contests, scholarships, webinars, and events, as well as facilitating discussion forums. These services are offered either directly or indirectly through other third-party platforms. The platform is in compliance wit applicable laws, such as the Information Technology Act, 2000, and the Digital Millennium Copyright Act, as amended from time to time, or other equivalent or similar legislation. Additionally, Cerebellum Academy might provide you with specific goods or services in conjunction with one or more of the Group Platforms (as defined under the Privacy Policy). In these circumstances, you will continue to be subject to the Platform Terms to the extent that you are provided with access to such product(s) or services through the Platform.

The terms “Platform Services” and “Services” are used throughout the Platform Terms to refer to all the services mentioned in this section as well as any additional goods or services that Cerebellum Academy may offer.

You agree and acknowledge that Cerebellum Academy shall be free to modify or eliminate any Service, product, aspect, or feature of the Platform at any time, including without limitation, the User-generated Content (to the extent that it is permitted or necessary by virtue of being a “intermediary”), its accessibility, and the Supported/Compatible device necessary to access or use the Services.

2. RIGHT TO ACCESS AND ACCOUNT CREATION

For learners to access the platform and use certain services, they must provide the requested data, register with the platform, and create an account. To access and register on the Cerebellum Academy Platform, you must meet the “Age Requirements” set forth below. By using the Cerebellum Academy platform, you are confirming by your behavior that you meet the age requirements. Registration on the Platform is free, but certain services offered on the Platform may be subject to a fee. Check out the services offered on our website or application. You are under no obligation to purchase any products or use any services offered on the Platform.

Age Restrictions (“Age Requirements”) for using and registering on the Platform:

To register and use the Cerebellum Academy Platform, you must be at least 18 (eighteen) years old if you reside in India or any other country (other than the USA, UK, or EU countries); if you reside in an EU country and are at least 16 (sixteen) years old, you may register and use the Cerebellum Academy Platform; and if you reside in the USA or the UK and are at least 18 (eighteen) years old, you may register and use the platform. If you are a resident of the United States, United Kingdom, or any EU country and are between the ages of 13 and 18 or 16 and 18 or are a resident of another country and are of legal age to use Internet Services, if considered to have been reached. Where permitted by applicable law in that country, by using the Platform you acknowledge that your use of the Platform has been authorized by your Parents (as defined below) and that your Parents have read, accepted and agreed to this Agreement and withinside the occasion of any dispute among you and Cerebellum Academy pursuant on your Agreement with us, the phrases of our Agreement will be relevant to and enforceable towards your Parent.

When a Minor/Child makes use of the Platform, we anticipate that the Parent of such Minor/Child has enabled the Minor/Child’s utilization of the Platform via way of means of agreeing to the Platform Terms and that such utilization is below the supervision in their Parent.

If Cerebellum Academy discovers that you do not meet the age requirements or that you have not obtained consent to register and use the Platform as stated above, Cerebellum Academy reserves the right to cancel your subscription and/or restrict your access to the Platform. You acknowledge that it is not the responsibility of Cerebellum Academy to ensure that you meet the age requirements. It will be entirely up to you to ensure that the necessary qualifications are met.

The Terms and Conditions, other Platform Terms, and any other terms that may be communicated or agreed upon with you from time to time all govern your access to and use of the Platform if you are a Content Provider and may be subject to separate agreements with Cerebellum Academy.

You must take all necessary steps to ensure that your password always remains confidential and secure. In addition, if you have reason to believe that your password is known to another person, or if your password is known to you or used without your permission, you must agree that: Promptly change your password or notify us of any unauthorized access to or use of your username or password so that we can assist in stopping or preventing such unauthorized access.

We reserve the right to refuse or suspend your registration on the Platform if necessary to comply with legal and regulatory requirements. / Or that, in our opinion, any information provided violates or violates any applicable law or government policy.

Supported/compatible devices for accessing the Platform and/or using the Services may change from time to time and whether the device is a supported/compatible device (or maintained) depends on the software or system provided or maintained by Device Manufacturers or Other Third Parties.

3. SUBSCRIPTION TERMS

Registration and account creation on Cerebellum Academy are free for learners. However, Cerebellum Academy may charge for some of its services. Consequently, Cerebellum Academy provides access to specific Services and features via multi-tiered paid subscription plans or purchases; On our Site and/or Application (the “Subscription” or “Subscription Service”), you can learn more about the Services, their features, and prices. Follow the instructions that appear as you move through the Platform to purchase Subscriptions.

The terms and conditions that apply to your subscription purchase:

  1. When you buy a subscription, you can only access the content in the category for which the subscription was purchased.
  2. Depending on the plan you choose the services available, and the duration of your subscription (the “Subscription Period”) may vary. Therefore, please read and comprehend the specifics of the subscriptions you intend to purchase on the Platform prior to making any purchases. Please feel free to contact us at the email address listed in the “Contact for User Support/Queries” section below if you have any questions or are unsure about any aspect of the subscription service.
  3. We may personalize Services and include them in Subscriptions, such as displaying content recommendations from the subscribed category and related categories that might be of interest to you. In addition, we strive to continuously enhance the subscription options available to you to enhance your Platform experience.
  4. Upon renewing a subscription that you have already purchased; the subscription period may be extended. If there are any renewal terms, they can be found on our website or application. However, please be aware that the prices may change after your initial subscription purchase.
  5. You are not permitted to resell, transfer, or share the subscription with any other person for consideration or otherwise. The subscription is solely for the benefit of the subscriber. Cerebellum Academy retains the right to immediately cancel or terminate a subscription if we learn that a user has resold, transferred, or shared the subscription with another person.
  6. As a mere platform provider, Cerebellum Academy cannot guarantee the continued services of any Content Provider due to a variety of factors, including any contractual restrictions. Content Providers may change from time to time.
  7. The Content Provider Content we make available to you under any Subscription offering is subject to restrictions on viewing access and the length of time we make them available to you due to the limitations, if any, imposed on us by our Content Providers (who own the Content Provider Content). As we add more features, devices, and content to our Subscription Service, these restrictions may change over time. Some examples of the restrictions that apply to your access to the content (whether made available through the Subscription Service or otherwise) are as follows:
  8. If a live video, also known as content, that is live streamed, is included in the subscription that you have purchased, you will have access to it. During the Subscription Period, you will have access via the Platform, which is governed by the Platform Terms. When accessing the live videos, please make sure to use a supported or compatible device (see the “Right to Access and Account Creation” section above).
  9. During the duration of your subscription, we may provide you with pre-recorded videos and/or recorded versions of any relevant live videos for continued viewing on the Platform—including downloading them in-app, as described below—depending on your subscription. Please be aware that our agreements with the Content Providers govern the availability of recorded videos and/or recorded versions of relevant live video content for your subsequent access on the Platform. We do not guarantee their availability for any reason.
  10. You may only be able to download content from the app within the subscription period, and you can only view the downloaded content during that time. You will only have access to the Content Provider Content after downloading it for the duration of your subscription, which will end when your subscription ends or expires, depending on the situation.
  11. The type of Compatible Device you are using to access the Content Provider Content and your bandwidth, which may increase or decrease throughout your viewing, will both have an impact on the resolution and quality of the content you receive. We strive to provide you with a high-quality viewing experience, but we cannot guarantee the content’s resolution or quality when streaming.
  12. The Cerebellum App is designed to be compatible with most devices, but we cannot guarantee universal functionality across all devices, particularly older models. Users of such devices may encounter issues with the app. Please consider this information prior to enrollment.

You may be granted access to additional Services and features based on the subscription service you have purchased. You may be informed of the additional terms that apply to each of these additional Services in a variety of ways, including by way of terms and conditions or FAQs (Frequently Asked Questions) for that Service on the Platform. Therefore, please ensure that you read the Platform Terms to learn about any additional services offered to you and how to use them..

4. USES OF THE PLATFORM

  1. The Platform, the trademarks, illustrations, letters, images, ideas, concepts, the layout, design, flow, and look and feel of the Platform, logos, marks, graphics, audio files, video files, any software that is owned by Cerebellum Academy or licensed to Cerebellum Academy, the underlying source and object code, instructions embedded in any form of digital documents, and other data, information, or material made available to you by Cerebellum Academy are all owned by Cerebellum Academy. Cerebellum Academy Content explicitly avoids any content transferred by the Clients, including without constraint, any Client created Content (characterized under the’ User-produced Content and Possession’ segment beneath) on the Stage, and any brand names and brand names that are not claimed by Cerebellum Academy. By using the Platform, you agree that you do not acquire any ownership or rights to the intellectual property of Cerebellum Academy. You agree that the intellectual property of Cerebellum Academy is protected by copyright, trademark, patent, trade secret, and other laws pertaining to intellectual property or proprietary rights. Unauthorized use, reproduction, modification, distribution, transmission, republication, display, or performance of the intellectual property of Cerebellum Academy or any part of it is strictly forbidden and may result in legal or penal consequences.

The fact that Cerebellum Academy, its logo, and other marks displayed on our Platform are either our trademarks or registered trademarks is further clarified. The Platform is the owner of the trademarks or trade dress for its graphics, logos, page headers, button icons, scripts, and service names. It is prohibited to use Cerebellum Academy’s trademarks and trade dress in any way that disparages or discredits Cerebellum Academy, in any way that is likely to confuse customers, or in connection with any product or service that is not Cerebellum Academy’s. You will not in any way use, modify, or alter Cerebellum Academy’s intellectual property. For any other icons or images that are displayed on this Platform Cerebellum Academy is not the owner of, such trademark icons or images may or may not be associated with Cerebellum Academy.

  1. Except as expressly permitted under any of the Platform Terms or else in jotting, you won’t reproduce, duplicate, copy, vend, redistribute, produce secondary workshop or else exploit the Platform or any portion of the Platform (including but not limited to any copyrighted material, trademarks, or other personal information).

License to Learner(s) Subject to the Platform Terms, Cerebellum Academy hereby grants you a non-exclusive, non-transferable, non-sublicensable, limited license to pierce and use the Cerebellum Academy Platform for your own particular, non-commercial, and private use on an ‘as is’ base in agreement with these Terms and Conditions and other Platform Terms.

Subject to payment of the Subscription figure, and your compliance( as a Learner) with all Platform Terms, Cerebellum Academy and the Content Providers grant you( as a Learner) a non-exclusive, non-transferable, non-sublicensable, limited license, during the applicable Subscription Period, to pierce and view the Content Provider Content you have subscribed to and attend live vids in association with your Subscription on an ‘ as- is ’ base, for particular, non-commercial, private use only, in agreement with the Platform Terms. We may automatically remove your access to the content from your Compatible Device after the end of the Subscription Period or in agreement with any restriction mentioned in the Platform Terms.

License to Content Provider(s) If you’re a Content Provider, Cerebellum Academy subventions you a limited, non-exclusive, non-transferable, non-sublicensable license to pierce and use the Platform for your own particular and marketable use in agreement with these Platform Terms and any other agreement(s) that may be executed between you( as a Content Provider) and Cerebellum Academy( as applicable).

  1. You can only use the license for the purposes specified in the Platform Terms. You must not use the Platform in any way or for any purpose that is not explicitly permitted by the Platform Terms, and you must not, either directly or through another person, engage in any activity that could lead to:
  2. distribution of any portion of the Platform or Cerebellum Academy’s intellectual property (as defined above), via any mode or medium, without the written permission of Cerebellum Academy.
  3. tampering with any part of the Platform or resulting in the creation of other derivative works based on the Platform or the Services it provides.
  4. the derivation of the source code of any software that is included in the Platform or made available to you as part of the Services through means or processes that are deemed unauthorized and/or illegal. reverse engineering, disassembly, or decomplication of the Platform or any part thereof.
  5. utilizing the Platform in a manner designed to avoid paying fees or exceeding usage quotas or limits.
  6. gaining access to content created by another user or content provided by a third party that you are not authorized to access.
  7. attempting to or circumventing any restrictions placed on your account.
  8. unless Cerebellum Academy has given you written permission to do so, you may not probe, scan, or test the vulnerability of any system or network utilized by Cerebellum Academy.
  9. without Cerebellum Academy’s prior written approval, you may not sell access to the Platform or any advertising, sponsorship, or promotion space on or within the Platform (other than as permitted by the Platform Terms).
  10. use or launch of any automated system, including but not limited to “robots,” “spiders,” or “offline readers,” that accesses the Platform in a way that sends more request messages to Cerebellum Academy’s servers in a given amount of time than a human could reasonably produce using a standard online web browser in the same amount of time.
  11. unauthorized use of the Platform’s communication systems or the unauthorized collection or harvesting of any personally identifiable information, including account names, from the Platform.
  12. the use of any data mining tools, robots, or other similar data gathering and extraction tools to extract any substantial parts of this Platform for re-use without the express written consent of Cerebellum Academy.
  13. purchase of keywords from search engines or other pay-per-click services (like Google AdWords) or domain names that use the name “Cerebellum Academy” or Cerebellum Academy’s trademarks, as well as any variants or misspellings of those names.

5. OTHER TERMS APPLICABLE FOR YOUR USE OF THE PLATFORM:

  1. You consent to receiving periodic updates and installs from Cerebellum Academy. These updates, which may include bug fixes, enhanced functions, new software modules, or completely new versions, are intended to improve, enhance, and further develop the Platform. When you use the Platform, you agree to receive these updates and give Cerebellum Academy permission to send them to you.
  2. Cerebellum Academy grants the operators of public search engines permission to use spiders to copy materials from the Platform for the sole purpose of creating publicly available searchable indices of the materials, but not caches or archives of such materials, despite anything to the contrary in this section of the Platform Terms. Cerebellum Academy reserves the right to revoke these exceptions at any time, with or without prior notice, either generally or in specific instances.
  3. You can share feedback, reviews, and other content; send additional messages; and send suggestions, ideas, comments, questions, and other information as long as the content isn’t illegal, obscene, threatening, defamatory, intrusive on privacy, a violation of intellectual property rights, harmful to third parties, or objectionable. Software viruses, political campaigning, commercial solicitation, chain letters, mass mailings, or any other kind of spam are also not allowed. Cerebellum Academy reserves the right to make any reviews, comments, or testimonials you provide to Cerebellum Academy, including any accompanying images, photographs, videos, or animations, publicly available on its Platform and/or through any other modes, mediums, platforms, or formats. You grant Cerebellum Academy a limited, worldwide, non-exclusive, royalty-free, sub-licensable, and transferable license to use, share, display, publish, retain, and make available such reviews, comments, and/or testimonials on the Platform as well as on any other platform through any other modes, mediums, or formats by accepting our Platform Terms.
  4. You promise not to embellish or misrepresent Cerebellum Academy’s relationship with you, such as by claiming or implying that we support, sponsor, endorse, or contribute to your business endeavors. You will not suggest that Cerebellum Academy and you are connected in any way.
  5. Cerebellum Academy may provide beta version access to services from time to time to certain group of individuals among the organization to check new updates and features introduced in the app. Additional agreements may be required for beta version use and access. Cerebellum Academy reserves the right to discontinue or modify a beta version at any time without prior notice and makes no representation that it will ever be made generally available. The beta versions are provided “as is,” and they might have errors, bugs, or other problems. The beta version you use is entirely at your own risk.

6. USER-GENERATED CONTENT AND OWNERSHIP

  1. Ownership of Content Contributed by Users: Any content that you upload, publish, submit, or post on the Platform, including but not limited to the Content Provider Content, any text, image, media, written statements, or other content that a User posts or publishes anywhere on the Platform, including but not limited to the comments section (collectively, “User-generated Content”), remains solely yours. Any user-generated content uploaded or published on the Platform is not the property of Cerebellum Academy. To be clear, you keep all ownership and rights to your User-Generated Content. However, you grant Cerebellum Academy a restricted license to distribute User-Generated Content on the Platform. Please read the following section, “License to User-generated Content,” to learn exactly what rights and licenses you grant Cerebellum Academy. You expressly release Cerebellum Academy from any and all liability arising from the User-Generated Content and agree that Cerebellum Academy has no control over and accepts no responsibility for it.

Terms applicable for the User-generated Content:

  1. The consequences of submitting and publishing your own user-generated content on the Platform are solely your responsibility. You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to publish the User-Generated Content you submit.
  2. In addition, you agree that you will not post any content on the Cerebellum Academy Platform that does not contain material that is protected by copyright or other third-party proprietary rights unless you have permission from the material’s rightful owner or are otherwise legally authorized to post the material and grant Cerebellum Academy the license and rights required by the Platform Terms. All claims relating to your User-Generated Content published on the Platform are solely your responsibility.

You agree not to host, display, upload, modify, publish, transmit, store, update, or share on the Platform any content or information that:

  1. is libelous, racially, or ethnically objectionable, relating to or encouraging money laundering or gambling, or otherwise inconsistent with or contrary to the laws in place; is defamatory, obscene, pornographic; invasive of another person’s privacy, including bodily privacy; insulting or harassing based on gender.
  2. is harmful to Young People.
  3. violates another’s copyright, trademark, patent, or other proprietary rights.
  4. violates the Platform Terms or any applicable law or regulation.
  5. deceives or misleads any User, including your End-Users, about where the message came from, or knowingly and purposefully shares information that is patently false or misleading in nature but can be reasonably interpreted as a fact.
  6. pretends to be another person.
  7. threatens India’s unity, integrity, defense, security, or sovereignty, friendly relations with other nations, public order, incitement to a cognizable offense, obstruction of an investigation, or insulting another nation.
  8. contains a software virus or any other computer program, file, or code designed to interrupt, destroy, or limit any computer resource’s functionality.
  9. is blatantly false and untrue, and it is written or published in any form with the intention of deceiving, harassing, or harming someone for financial gain.
  10. is incorrect, erroneous, or misleading.
  11. is pornographic or offensive; and/or consists of cancelbots, viruses, trojan horses, worms, and other computer programming routines that have the potential to harm, adversely affect, secretly intercept, or expropriate any system, data, or personal information.
  12. On the Platform, you can submit user-generated content as a user. However, you must be aware that Cerebellum Academy does not promise that any user-generated content you submit will remain private.

License to Content Contributed by Users: You grant Cerebellum Academy a limited, worldwide, non-exclusive, royalty-free, sub-licensable, and transferable license to use, reproduce, distribute, share, display, publish, retain, make available online, and/or electronically transmit such User-generated Content and technical information as necessary (i) to provide the Platform and our Services; (ii) to provide the Platform and our Services; (iii) to provide the Platform and our Services; (iv) to provide the Platform and our Services ii) to carry out our responsibilities set forth in the Platform Terms and any other written agreement we have with the User; iii) to provide, monitor, correct, and enhance the Platform and related services; iv) for Cerebellum Academy’s business and the Cerebellum Academy Platform, including but not limited to the promotion and redistributing of the Cerebellum Academy Platform in any media format and through any media channels; and (v) to follow the laws that are in place.

Additionally, you grant each Platform user a limited, non-exclusive license to access your User-Generated Content.

7. YOUR CONDUCT ON THE PLATFORM

  1. You must adhere strictly to the User Guidelines and other Platform Terms in how you behave on the platform.
  2. You are aware that, as a User, you may engage with Minors/Children on the Platform (see the section above on “Right of Access and Account Creation”); as a result, you must be fully aware of and adhere to our Minor & Learner Interaction Guidelines.
  3. You acknowledge and agree that you will never harass or discriminate against another user while using the Cerebellum Academy Platform by posting or publishing any content, leaving any comments, or acting in any other way. Cerebellum Academy will take appropriate action against you if it ever comes to its attention that you have harassed or discriminated against any other Users.
  4. Cerebellum Academy does not support any User-generated Content posted by any User on the Cerebellum Academy Platform, nor does it support any views, suggestions, or recommendations made therein. In relation to user-generated content, Cerebellum Academy expressly disclaims all liability. Cerebellum Academy will remove all User-generated Content if properly notified that such User-generated Content violates another’s intellectual property rights in accordance with its obligations as an “intermediary” Cerebellum Academy does not permit copyright infringing activities and infringement of intellectual property rights on the Cerebellum Academy Platform. If Cerebellum Academy has reason to believe that any User-generated Content is in violation of these Terms and Conditions, Cerebellum Academy reserves the right to remove it without prior notice. Please see the section below titled “Claims Against Use of Third-Party Intellectual Property” to learn how to file a claim.
  5. You must refrain from any actions that could harm Cerebellum Academy and/or other Platform users, such as screen recording, screen casting, downloading content from Content Providers (live or recorded) using another device in a way that is not directly supported by a feature on the Platform, sharing or otherwise publishing such content on third-party platforms, whether for free or at a cost. In the event that Cerebellum Academy learns of your participation in any such activity, whether directly or indirectly through a third party, Cerebellum Academy may, at its sole discretion, immediately terminate your or that User’s access to the service, your subscription, and access to all downloaded materials.

8. FEEDBACK

If any User(s) provides feedback regarding the Platform or any of the Services, whether through the Platform or otherwise (“Feedback”), then such User(s) grants Cerebellum Academy and its affiliates a worldwide, non-exclusive, royalty-free, perpetual, and irrevocable right to use (and full right to sublicense), reproduce, modify, adapt, publish, translate, create derivative works from, distribute, transmit, and display such derivative works. Because Cerebellum Academy incorporated users` feedback into the platform, users shall not have any intellectual property rights in the platform.

9. CLAIMS AGAINST USER-GENERATED CONTENT AND USE OF THIRD-PARTY INTELLECTUAL PROPERTY

Please be aware that Cerebellum Academy does not review changes or updates to, or the quality, content, policies, nature, or reliability of, such User-generated Content and accepts no responsibility for reviewing such User-generated Content. Cerebellum Academy also does not monitor, have any control over, or make any claims or representations regarding the accuracy, completeness, or usefulness of any User-generated Content provided on the Platform by its Users. Cerebellum Academy expressly disclaims all liability and responsibility for any loss or damage caused by your reliance on any such materials. Other than the Cerebellum Academy Content, all statements and/or opinions made in these materials, as well as all articles, answers to questions, and other content, are the sole responsibility of the User who created it.

Additionally, at Cerebellum Academy, we value other people’s intellectual property as much as we value our own.

  1. Copyright Complaints and Takedown Policy: Cerebellum Academy will process, look into, and take appropriate action on all complaints and notices of alleged copyright infringements or violations in the following ways: Cerebellum Academy will handle any complaints or notices of alleged copyright infringements or violations of any User-generated Content published in connection with the Services offered in accordance with the Indian Copyright Act, 1957 (as amended from time to time). A notification of claimed copyright infringement or violation, with the subject line “Copyright: Takedown Request – India,” should be emailed to Cerebellum Academy. If you, in good faith, believe that your work or the work of a person you know has been copied in a way that constitutes copyright infringement or violation.
  2. The notice you provide to us must be in writing and include the information listed below in order to be valid:
  3. a description of the copyrighted work or other intellectual property that you allege has been violated; an electronic or physical signature from you or the person authorized to act on behalf of the owner of the copyright or other intellectual property interest.
  4. a description of the location on the Platform of the allegedly infringing content, with enough specificity to enable us to locate it.
  5. your home address, contact information, and email address.
  6. a declaration from you stating that you genuinely believe the disputed use is not permitted by the law, the copyright or intellectual property owner, or the owner’s representative.
  7. a declaration from you, given under oath and to the best of your knowledge and belief, that the information in your notice is true and correct and that you have the right to represent the copyright or intellectual property owner.

Please be aware that we reserve the right to send a copy of any infringement claim to the individual whose User-Generated Content was flagged by you as allegedly violating the law. This individual will have the right to respond to your notice in accordance with the applicable laws. We will only remove the infringing content in accordance with the Platform Terms and any relevant laws if we have good reason to believe there has been an infringement or if there are court orders.

You may be held liable for damages and attorney’s fees if you submit a notice of infringement that willfully and materially misrepresents that any content, information, or communication on the Platform violates a copyright.

Trademarks and other intellectual property rights: Anything that bears the Cerebellum Academy name or logo is a representation of Cerebellum Academy. We do not permit others to make, sell, or distribute anything bearing our name or logo, unless you are one of our licensees.

Additionally, please contact us at legal@cerebellumacademy.com if you believe that any intellectual property rights (other than copyrights) belong to you or someone you know has been used in a manner that raises questions of infringement. Please include a description of the trademark or other intellectual property that you believe has been violated as well as information about where the allegedly offensive content is located on the Platform so that we may locate it.

10. CEREBELLUM ACADEMY’S RIGHTS

In respect of the entire Platform, Cerebellum Academy reserves the following rights:

  1. In order to adhere to legal and regulatory obligations, Cerebellum Academy maintains the right to reject, suspend, or terminate your registration on the Platform.
  2. If you breach any terms of the Platform Terms, Cerebellum Academy reserves the right to remove you and/or the User-generated Content immediately.
  3. Cerebellum Academy reserves the right to alter, discontinue, or refuse to offer Services at any time and without prior notice for any reason.
  4. Cerebellum Academy reserves the right to ban anyone from the Platform at any time for any cause, notwithstanding anything to the contrary contained in the Platform Conditions, and at its sole discretion.
  5. Cerebellum Academy reserves the right, in its sole discretion, to gain access to your account and/or the User-Generated Content for the following reasons: to respond to requests for technical support, to uphold the Platform’s security and safety, for legal reasons, and for other ostensibly legitimate business purposes.
  6. Cerebellum Academy has no responsibility to monitor any content that appears on the Platform or to review any conduct taking place through the Platform, together with any exchanges between Users. However, if Cerebellum Academy receives notice of or otherwise learns of any violation of the Platform Terms, Cerebellum Academy reserves the right to deny access to the Platform, terminate accounts, or remove such violating content at any time and without prior notice to you.

11. COMMUNICATIONS

You are contacting us electronically when you use the Platform. You might be asked for a working phone number when you open an account with us, sign up for a subscription service, or buy one. We can reach out to you by phone, text message, email, posting notices on the Platform, or any other means of communication. By providing your information, you give Cerebellum Academy, its affiliates, and each of their employees, agents, and contractors permission to contact you electronically via email, phone calls, or other means regarding your use of the Platform and the goods and services that Cerebellum Academy and its affiliates have to offer. Even if your phone number is hidden, Cerebellum Academy may send you these communications.

  1. We reserve the right to send you transactional messages, such as service announcements, administrative and legal notices, and information about your account, even if you choose not to receive promotional emails from us in the future. Use the option enabled within the Platform to delete your account if you no longer want to use our Platform or receive any communications from us (aside from those that are legally required). Alternatively, you can write to us at the email address listed under the “Contact for User Support/Queries” section below.
  2. Only future communications from us will be impacted by opting out of promotional communications. You might need to update your information or adjust your preferences directly with the third party if we have previously disclosed your information to them (as described in our Privacy Policy).
  3. Without your permission, we do not sell your personal information to third parties or use your name or the name of your firm in marketing materials. If necessary, we may obtain your permission by having you agree the platform terms or by contacting you.
  4. Further, Cerebellum Academy is only an intermediary and does not monitor any interactions between Users on the Platform, but as part of the Platform Terms, Cerebellum Academy has clearly outlined the terms and guidelines a User must follow in their conduct on the Platform; and if Cerebellum Academy obtains from any User a claim of improper conduct against you, in any form, or if Cerebellum Academy otherwise deems necessary, Cerebellum Academy may take any other action it deems appropriate.

13. PLATFORM AVAILABILITY

Occasionally, without warning, your accessibility to the Portal may be discontinued or limited to allow for upgrades, restoration, or the launch of new products or services. The frequency and length of any suspension or limitation will be kept to a minimum. You acknowledge that if all or a portion of the Platform is unusable at any time or for any length of time for any reason, Cerebellum Academy will not be responsible for any damages you may suffer.

14. PRICING, PAYMENTS, AND REFUNDS

Pricing and Payments: By following the Platform’s instructions and making the payment necessary for the Subscription Model you intend to buy; you can buy a of your choice for any segment (or categories) of content. Please review the terms listed below that apply to the payment of your platform subscription. The following conditions should be read along with any other conditions that were discussed with you at the time you purchased your subscription:

  1. You acknowledge that you are entirely responsible to pay any and all Subscription fees and charges associated with your account on the Platform. The Subscriptions are fully and in advance payable, and they are good until line with the agreement end of relevant Subscription Period or until they are otherwise canceled or revoked in of this Agreement.
  2. We reserve the right to use any legal or collection agency forms of payment to collect the fee owed to us, including getting charged other that are on file with us.
  3. Your payments will be made to an entity within the Cerebellum Academy group in accordance with Annexure 1.
  4. Taxes that may be applicable in your country of residence, where you registered for an account on the Platform, or where you bought the underlying Subscriptions will be deducted from any payments you make to Cerebellum Academy, including but not limited to Goods and Service Taxes (GST) and Value Added Taxes (VAT).
  5. We reserve the right to alter or revise the Subscriptions’ prices.
  6. In addition to what is provided on the Platform, we reserve the right to offer custom pricing and plans (along with discounts and/or special offers), as well as custom billing and payment terms that differ from our standard terms.
  7. For the purpose of processing payments related to the Services we provide, we work with third-party payment gateways and/or aggregators. Depending on the Subscription you select, the third-party payment gateway(s) made available to you may change. To provide you with better payment options, we have also enabled integration of third-party payment providers. These options may change depending on your location or the Subscription you select. Third-party service providers will collectively be referred to as third-party payment gateways/aggregators and third-party payment providers.
  8. You might have to pay third-party service providers to use or access their services, and they might need your personal data to finish any deals for the platform. Additionally, in order to make it easier for you to complete your payments to us through the Platform or use the payment options that are available to you,
  9. You acknowledge and agree to indemnify, defend, and hold Cerebellum Academy, its licensors, their affiliates, and their respective officers, directors, employees, and agents harmless from any loss arising out of or related to the use of the Platform or any purchases made through the Platform. You agree that you are solely responsible for all charges that occur through such Third-Party Service Providers. After your Agreement with us expires and you stop using the Platform, this obligation will remain in effect. The term “Loss” as used in the Platform Terms refers to all losses, liabilities, damages, awards, settlements, lawsuits, proceedings, costs, and expenses (including reasonable attorneys’ fees and other outlays, as well as costs associated with the investigation, litigation, settlement, judgment, interest, and penalties).
  10. For any claims resulting from any action or inaction on the part of the Third-Party Service Provider(s), including but not limited to any lost, stolen, or improperly processed payments, Cerebellum Academy shall have no liability to you. For all services rendered by the Third-Party Service Provider(s), Cerebellum Academy expressly disclaims all liability and responsibility.
  11. Please be aware that Cerebellum Academy only accepts payments for Subscriptions through the Platform and not from any other sources (aside from Third-Party Service Provider(s)). However, if we have authorized any third party, that third party will have obtained a written authorization from Cerebellum Academy via any agreement or an authorization letter. Normally, we do not authorize any third party (aside from Third-Party Service Provider(s)) to collect money on our behalf.
  12. Additionally, Cerebellum Academy is the only party with the authority to make any discounts or offers on the Subscription prices. Unless otherwise specifically stated by Cerebellum Academy, these discounts and offers can only be taken advantage of through the Platform. They are communicated on the Platform or directly to you from Cerebellum Academy via email, SMS, phone, or other means of communication. No one, including without limitation Content Providers or any other third-party platform, is permitted to provide any discounts on the Subscription prices offered on the Platform besides Cerebellum Academy. Any claims resulting from such unauthorized discounts or offers made by anyone (including any third-party platform or Content Provider) other than Cerebellum Academy are not the responsibility of Cerebellum Academy.
  13. Policy for Cancellations and Refunds: By using your account on the Platform, you can cancel your Subscription.

15. DELETIONS OF ACCOUNT

As a Learner, you have the option to delete your account at any time by contacting us via email at the address listed in the section below titled “Contact for User Support/Queries” or by using the delete feature offered within your account on the Platform (if available). Any deletion once processed is irrecoverable, so if your account is deleted (regardless of the reason), you will lose access to your account on the Platform and your user-generated content might not be available. Your information and/or User-generated Content may be lost if they are deleted, and Cerebellum Academy disclaims all liability for any party’s inability to access User-generated Content as a result of any deletion. Note that all accounts will continue to be active. Please be aware that all accounts will continue to be active unless you specifically request that we delete them, and applicable Subscription payments will continue to be taken until you cancel them, your account is deleted at your request (as described in the section above titled “Pricing and Payments”), or the Platform Terms are otherwise violated. Please be aware that we might not be able to remove all of the communications, pictures, files, or other documents that you publicly post on the Platform. Nevertheless, we will anonymize your Personal Information (as defined in the Privacy Policy) so that it can no longer be associated with you personally. We won’t ever divulge. Please be aware that we might not be able to remove all of the communications, pictures, files, or other documents that you publicly post on the Platform. Nevertheless, we will anonymize your Personal Information (as defined in the Privacy Policy) so that it can no longer be associated with you personally. We will never share aggregated or de-identified data in a way that could be used to identify you specifically.

If you are a Content Provider, your access to and use of the Platform may be governed by a separate agreement with Cerebellum Academy, which agreement’s terms, along with the Terms and Conditions and other Platform Terms, will all be taken into consideration.

16. DISCLAIMERS

You acknowledge that the website, its contents, and all materials are offered “as is” and “as available” and that it is solely at your own risk that you use the website. Cerebellum Academy, its officers, directors, employees, and agents exclude all express and implied warranties regarding the platform and your use of it to the fullest extent permitted by law. Cerebellum Academy disclaims, to the fullest extent permitted by law, all warranties, conditions, terms, and representations regarding the accuracy, security, reliability, quality, availability, or completeness of the platform, user-generated content on the platform, or the content of any sites to which the platform is linked. Cerebellum Academy also disclaims any liability or responsibility for any (i) mistakes, errors, or inaccuracies of user-generated content or any content on the platform, I any interruption or cessation of transmission to or from the platform; (ii) any bugs, viruses, hacktivists, or the like which may be transmitted to or through the platform by any third party; (iii) any treatment for people or property damage, of any nature whatsoever, arising from your access to and use of the platform; (iii) any unauthorized access to or use of our secure networks and/or any and every personal information and/or financial information stored therein; and (iv) any errors or omissions in any user-generated content or any other content, or for any loss or damage of any kind incurred as a result of the use of any user-generated content or any other content that is posted, emailed, transmitted, or otherwise made available via the platform. (v) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the platform by any third party. Cerebellum Academy will not be a party to or in any way be responsible for overseeing any transaction between you and third-party providers of user-generated content or services. Cerebellum Academy does not warrant, endorse, guarantee, or take responsibility for any user-generated content or the platform advertised or offered by a third party through the platform, any hyperlinked services, or featured in any banner or other advertising. As with any purchase of a service made through a medium or in any setting, you should use caution when necessary and use your best judgment. Cerebellum Academy explicitly states that all accompanying materials, including the content provided by the content provider, are provided “as is” and are not intended to provide any kind of advice or recommendations.

17. LIMITATIONS OF LIABILITY

To the fullest extent allowed by law, in no event shall Cerebellum Academy, its affiliates, their respective officers, directors, Employees, or agents be liable to you for any direct, indirect, incidental, special, punitive, losses or expenses or consequential damages whatsoever resulting from any (i) errors, mistakes, or inaccuracies of user-generated content or any other content available at Cerebellum Academy, (ii) links to other websites that contain offensive or inappropriate material, (iii) (ii) any unauthorized access to or use of our secure servers and/or any and all personal information and/or financial information stored therein, (iii) any interruption or cessation of transmission to or from the Cerebellum Academy platform, (iv) any bugs, viruses, trojan horses, or other similar items that may be present, and/or (v) any other consequences of your access to and use of our Cerebellum Academy platforms, including any personal injury or property damage of any nature. To the extent permitted by law, Cerebellum Academy and its affiliates limit their liability for any claims under those Warranties or conditions to providing you with the Cerebellum Academy platform once more. We understand that in some jurisdictions, warranties, disclaimers, and conditions may apply that cannot be legally excluded. You expressly agree that Cerebellum Academy shall have no liability for user-generated content or for any unlawful, offensive, or defamatory acts of third parties and that the risk of harm or damage from the foregoing solely rests with you. Depending on your jurisdiction, Cerebellum Academy and/or its Affiliates oversee and provide access to the Cerebellum Academy Platform. Cerebellum Academy disclaims any claims that the Cerebellum Academy platform is available or suitable for use elsewhere.

18. INDEMNITY AND RELEASE

You agree to defend Cerebellum Academy, its affiliates, and each of their officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from: (i) your use of and access to the Cerebellum Academy Platform; (ii) your violation of any provision of the Platform Terms; and (iii) your violation of any applicable law, to the extent permitted by applicable.

19. OFAC (OFFICE OF FOREIGN ASSET CONTROL)

You declare and warrant that you are not, and that you are not directly or indirectly owned or controlled by, any person, group, entity, or country that is listed as a “Specially Designated National and Blocked Person,” terrorist, or other person under any law, order, rule, or regulation or by any Executive Order of the President of the United States, including Executive Order 13224. (ii) You are not (and are not owned or controlled, directly or indirectly, by any person, group, entity, or country that is) acting directly or indirectly on behalf of any Prohibited Person; (iii) You have not engaged in any transaction or dealing with any Prohibited Person in violation of the U.S. Patriot Act or any OFAC rule; and (iii) You will not engage in any such transaction or dealing with any Prohibited Person. (iv) You aren’t barred from doing business with Cerebellum Academy by any sanctions programs upheld by OFAC, including those that are in force about Cuba, Iran, North Korea, Syria, Venezuela, or Crimea. Regarding the aforementioned, it is clearly understood and agreed that the representations and warranties contained in this paragraph shall be ongoing in nature.

20. LAW AND JURISDICTION THAT APPLIES

Which entity from the Cerebellum Academy group is giving you access to the Platform and the Services, which in turn depends on the Subscription you select, determines the applicable law and jurisdiction. Cerebellum Academy India, for example, is the entity providing the Services in relation to Subscriptions pertaining to India. As a result, the Agreement shall be governed by and construed in accordance with the laws of India. You and we both agree to submit to the sole jurisdiction of the respective courts in India. Cerebellum Academy Pvt. Ltd. will also provide services for subscriptions related to the US, so in those instances, the Agreement will be governed by and interpreted in accordance with US law.

21. GENERAL PROVISIONS

Legal Notices: Please contact us at privacy@cerebellumacademy.com if you have any questions or concerns about any other disputes or claims relating to the use of the Cerebellum Academy Platform.

Termination, Modification, or Amendment: You agree to be bound by any modifications or revisions Cerebellum Academy makes at any time, at its sole discretion, to the Agreement and its policies. Any modifications to the Agreement will be deemed accepted by you if you continue to use the Platform after they are made. Nothing in the Agreement shall be construed as granting any rights or benefits to any third party. It is advised that you frequently check our Platform to see recent changes and to stay current on the most recent updates. Force Majeure: Cerebellum Academy shall not be liable for any failure or delay in performance of any of its obligations if, and to the extent that, such failure or delay is caused by events substantially beyond its control, including but not limited to acts of God, public enemy, governmental body acting in its sovereign or contractual capacity, war, terrorism, floods, fire, strikes, epidemics, civil unrest or riots, power outage, and/or unusually severe weather. The Agreement shall be deemed severable if any provision is determined to be invalid, illegal, or unenforceable, and such determination shall not affect the validity and enforceability of any other provisions. Any notice required to be given in relation to the Platform must be in writing and delivered to Cerebellum Academy’s registered office. We cannot guarantee that the Platform will always be available, secure, or uninterrupted, and many uncontrollable factors may obstruct its proper operation. Only used as a guide, headings in no way define, limit, construe, or describe the scope or extent of any section. No matter how indifferent we may be to a breach by you or someone else, we still have the right to act.
